    BT pays £12.5bn for EE

Fibre broadband and 4G telephony will come together through BT’s successful bid for mobile company EE.

The UK telco is to pay £12.5 billion for the Deutsche Telekom-Orange JV that is the biggest mobile telephony company in the UK. It currently holds 31 million customers including 24.5 direct mobile customers and 834,000 fixed broadband customers.

EE also supplies an MNVO service to BT’s rival Virgin Media.

BT now plans to upsell its broadband, fixed telephony and pay-TV services to those EE customers who do not currently take a service from BT.

“This is a major milestone for BT as it will allow us to accelerate our mobility plans and increase our investment in them. The UK’s leading 4G network will now dovetail with the UK’s biggest fibre network, helping to create the leading converged communications provider in the UK. The enlarged BT will offer significant opportunities for employees as we lead the creation of a world-class digital infrastructure for Britain,” said BT chief executive Gavin Patterson.

BT is funding the purchase through new debt financing and approximately £1bn from the placing of new BT shares. The Equity Placing will be launched in due course

Following the Transaction and Equity Placing, Deutsche Telekom will hold a 12% stake in BT and will be entitled to appoint one non-executive member of the BT Board of Directors. Orange will hold a 4% stake in BT.

EE was formed in 2010 from the merger of Orange and DT’s operations in the UK: Orange UK and T-Mobile UK. The current wave of merger activity is expected to continue with the sale of O2 – once BT’s own Cellnet mobile network – to Hutchison Whampoa, operator of 3.

    Netflix set for Japan

Netflix has confirmed that it will launch in Japan this autumn. To facilitate close partnerships with consumer electronics makers and to work with Japanese film and TV creators, the company will soon open a regional office in Tokyo.

Meanwhile, Gregory K. Peters, chief streaming and partnerships officer at Netflix since 2013 and a Japanese speaker, has been promoted to general manager of Netflix Japan.

Commenting on the upcoming launch, Reed Hastings, CEO at Netflix, said: “With its rich culture and celebrated creative traditions, Japan is a critical component of our plan to connect people around the world to stories they love.

“As we expand into Asia, we’re excited Netflix members increasingly will have access to some of their favourite movies and TV shows no matter where they are.”

Peters added: “It is an honour to bring Netflix to Japan, and we’ll work hard to please consumers there.

“People in Japan soon will have access to great entertainment from all over the world for a low monthly price, while our more than 57 million members will benefit from increased access to great Japanese films and TV shows.”

Netflix will make its debut in Australia and New Zealand next month and plans to complete its global rollout by the end of 2016.

In Japan, it will be serving a market with around 36 million broadband households.

    Spotlight on Polish pay-TV trends

The number of Poles willing to receive pay-TV services is falling.

According to Gazeta Prawna, although the total is shrinking by only an annual 2%, the trend is likely to continue for a number of years to come.

At the same time, the amount paid by existing subscribers is continuing to increase.

Gazeta Prawna estimates the value of the Polish TV market in 2014 to have been over PLN12 billion (€2.86 billion).

Of this, PLN7.6 billion was derived from fees paid by subscribers, over PLN3.8 billion from advertising and PLN750 million from receiver licence fees.

DTH services accounted for the lion’s share of the pay-TV market, with Cyfrowy Polsat and nc+ having a combined 5.7 million subscribers.

Some 1 million are based overseas and the two platforms turn a blind eye with regards to author’s rights of their content received outside Poland.

Significantly, it appears the DTH market is shrinking by around 2% a year, with most subscribers who churn moving to DTT services.

Meanwhile, Poland’s cable industry, though dominated by a handful of large players, is still served by around 500 operators.

Pay-TV penetration in Poland stood at around 78% in 2014 and is expected to increase to 81% by 2016.

However, this does not necessary mean that more homes will be receiving services as some will opt for several.

DTT poses a threat to both DTH and cable, with subscribers currently receiving lower end packages increasingly opting for the 21 FTA channels currently available terrestrial.

This will increase to nearly 30 with the launch of the eighth multiplex.

DTT viewership increased by five percentage points in 2014 and terrestrial services are currently viewed in 30% of Polish homes.

    TVN eyes more channels

The Polish national commercial broadcaster TVN has secured a satellite licence from the country’s National Broadcasting Council (KRRiT) for a new thematic channel.

Wirtualne Media reports that it will be known as TVN Fabula and offer viewers serial from TVN, along with movies.

Quoting TVN spokesperson Emilia Ordon, it adds that although preparations for the channel are under way, there is still no launch date.

Ordon also confirmed plans by TVN to launch two further channels, known as TVN Sportive and TVN Activ.

TVN, which is currently in the process of being sold, already operates a number of thematic channels. It also has a stake in the DTH platform nc+.

BBC Trust to bring commercial in line with licence fee services

New arrangements are being introduced covering the way the BBC Trust scrutinises the BBC’s commercial activities.

The framework for BBC commercial services (currently BBC Worldwide, BBC Global News Ltd and BBC Studios and Post Production) will be put in place from April. It will cover the requirements, boundaries and expectations for their operation with an emphasis on their relationship with licence fee funded services.

The Trust will assess the performance of the commercial services against this framework every five years, bringing it into line with the way that BBC TV, radio and online services are currently assessed.

BBC Trustee Suzanna Taverne said: “The BBC’s commercial services and activities play an important role in generating returns for reinvestment into BBC content for UK licence fee payers. This framework clarifies the Trust’s expectations and strengthens our oversight of them, to ensure the performance of the services is regularly and publicly assessed. Having listened to concerns from the industry, we will also launch an independent review later this year to provide assurance around separation and transfer pricing.”

In a consultation leading up to the announcement respondents suggested Global News Ltd might contribute to the BBC public purpose ‘bringing the UK to the world, and the world to the UK’. This, said the Trust, was something that could be achieved if it is done with a view to generating profit rather than in order to achieve that promotion.
